3. The Escrow Marketplace — Secure, Legally Verified Trading

The Oaksvale Marketplace enables verified investors to buy and sell property ownership units securely — with every transaction matched by a legally enforceable transfer of beneficial ownership rights in the underlying SPV.

Unlike generic trading platforms, the Oaksvale Marketplace integrates legal ownership verification and SPV record updates directly into every trade, ensuring that on-chain ownership always corresponds to a real, enforceable legal interest.

How the Escrow Settlement Process Works

Step 1 — Seller lists and locks units The seller creates a listing and sets their asking price in USDC. At the moment of listing, the corresponding ownership units leave the seller’s wallet and are locked in the Marketplace escrow contract — secured and unavailable for manipulation until the trade is completed or cancelled.

Step 2 — Buyer commits USDC A verified buyer selects the listing. Their USDC is transferred into the same escrow contract. At this point, both sides of the trade are locked — the seller’s units and the buyer’s USDC are held securely by the smart contract.

Step 3 — Off-chain legal transfer With both assets secured in escrow, Oaksvale’s compliance team performs the legal transfer of beneficial ownership in the SPV. This includes:

  • Confirming the seller’s legal economic rights
  • Updating the SPV’s beneficial ownership register
  • Reassigning economic rights to the buyer under applicable law
  • Ensuring all KYC, AML, and regulatory requirements are satisfied for both parties

This step ensures that real-world legal documentation matches the on-chain record.

Step 4 — Final settlement Once the off-chain transfer is verified and approved:

  • Ownership units are released to the buyer’s wallet
  • USDC is released to the seller, net of the applicable transfer fee
  • The transaction is permanently recorded on both the Ethereum blockchain and the SPV ledger

Settlement only occurs when both parties are fully legally protected.

Why this matters for investor security:

  • Ownership units and funds remain protected in escrow until legal transfer is confirmed
  • Buyers are protected because the seller’s units are locked before any USDC is committed
  • Sellers are protected by the irrevocability of the buyer’s USDC commitment once deposited
  • Every trade is KYC-verified — anonymous trading is not permitted
  • Ownership units represent legally enforceable economic rights in a real property, not speculative digital assets
